1. Who is agreeing with whom
There are three parties, and the split matters because most disputes about an app like this are really disputes with the society, not with us.
- Vijay Joisar (“we”, “the platform”), the person who makes and runs Perimeter.
- Your society, the co-operative housing society or residents' association that has subscribed to Perimeter. It pays us; you do not.
- You: a member, resident, tenant, committee member, guard or member of staff using the app.
Using the app means you accept these terms. If you do not accept them, do not use the app; your society's other channels for reaching the committee remain open to you.
2. What we do and what your society does
We provide software. We are not a party to anything between you and your society.
Your society decides everything about your society. Specifically, and this is the part most often misunderstood:
- Your society sets the maintenance charge, the due date, the grace period and the late fee. The app calculates and presents them. It does not choose them, and we cannot change them for you.
- Your society decides who may enter the building, who is blacklisted, and what its guards do.
- Your society keeps its own books. The accounts the app produces are its accounts.
- Your society approves and removes members. We do not decide who lives in your building.
If you disagree with a charge, a penalty, a gate decision or a refusal of entry, that is a matter between you and your managing committee. We have no authority to reverse any of it, and we will not intervene in it.
3. Money
We never hold your money. When you pay a maintenance bill through the app, the payment goes directly into your society's own bank account, through a payment gateway account the society opened in its own name. It does not pass through us. We take no commission on your maintenance.
This has consequences you should know:
- Refunds are your society's to give. We cannot refund a maintenance payment, because we never received it.
- A failed or disputed payment is between you, your society and the gateway. We will help your committee find the record; we cannot move the money.
- Your society is responsible for its own gateway account, including its fees and its compliance.
What you pay us: nothing. Your society pays a subscription. If that subscription lapses, your society's access may be suspended, see §7.
4. Using the app properly
You agree not to:
- Sign in as someone else, or let someone else use your account
- Enter false information about a visitor, a resident or a vehicle
- Use the gate features to harass, track or intimidate anybody
- Use the resident directory to market anything, or to build a contact list for anything other than living in your building
- Attempt to reach another society's data, or another household's, or to bypass the app's access controls
- Upload anything unlawful, or anything you have no right to share, including photographs of people who have not been told they are being photographed
Your society's committee may suspend your access for breaching these. We may suspend a whole society's access for a breach at the society level.
A note on visitor photographs. Guards photograph visitors. Visitors have rights over those photographs, and societies are required to display notice at the gate. Committees are responsible for that notice being there. Using the app does not make an unlawful photograph lawful.
5. What is yours and what is ours
Your content stays yours. Your name, your complaints, your photographs, your society's accounts. None of that becomes ours. You grant us only the permission needed to store and display it to the people you intend to see it.
The software stays ours. You may use it. You may not copy it, resell it, reverse-engineer it, or build a competing service from it.
6. Moving out, and leaving
When you move out and your committee records it, your access to that society ends. What follows is deliberate, and worth reading before it happens:
- Your household's gate history stops being visible to the flat's next occupant, and theirs will not be visible to you. This is enforced by the system, not by policy.
- Your unpaid dues do not disappear. They remain owed to the society.
- Your society's financial records naming your flat remain in its books, because a society is required to keep them.
You may delete your account at any time from Settings. It anonymises you, see the Privacy Policy. Your society's financial records survive in de-identified form.
7. Suspension and interruption
We may suspend a society's access if its subscription lapses, if it breaches these terms, or if we are required to by law. Where we can, we will warn the committee first.
A suspension stops the app, not your obligations. Maintenance is still owed; the gate is still your society's to run by other means.
We do not promise the app is always available. It runs on servers, and servers fail. We do not promise a service level unless your society has a separate written agreement saying otherwise.
The gate is not a safety system. Perimeter records and coordinates visitor entry. It is not a security guard, a fire alarm or an emergency service. Do not rely on it in an emergency. Call the emergency services.
8. Our liability
To the extent Indian law allows:
- We are not liable for the decisions your society makes with the software: charges, penalties, blacklisting, admission or refusal of entry.
- We are not liable for loss caused by the app being unavailable, by a payment gateway failing, by an SMS not arriving, or by a notification not being delivered.
- We are not liable for indirect or consequential loss.
- Where we are liable, our total liability to a society is limited to the subscription fees that society paid us in the twelve months before the claim. A user who pays us nothing has no monetary claim against us: your claim, if any, lies with your society.
Nothing here limits liability that cannot be limited by law, including for fraud, or for death or personal injury caused by negligence.
9. Changes to these terms
We may change these terms. If a change is material you will be asked to read and accept it when you next open the app, and you will not be able to continue until you do. Previous versions and your acceptance of each are kept.
10. Law and disputes
These terms are governed by the laws of India. The courts at Mumbai have exclusive jurisdiction.
Before starting proceedings, raise the matter with your society's committee, and then with us at support@perimeter.co.in. Most disputes about an app like this turn out to be disputes with a committee about a charge, and are settled faster that way.
